Vendor Terms
1. Partnership Scope
Vendors/Partners may resell or utilize the platform services under agreed commercial terms.
The Company retains full ownership of:
Software infrastructure
APIs
Source code
Hosting systems
Branding assets unless white-label rights are granted
2. Vendor Responsibilities
Vendors agree to:
Market services ethically
Avoid false commitments
Provide accurate client onboarding information
Ensure clients comply with WhatsApp and Meta policies
Maintain confidentiality
3. Pricing & Payments
Vendor pricing may vary based on partnership agreements.
All invoices must be cleared within the agreed timeline.
Delayed payments may result in account suspension or termination.
4. White Label Usage
If white-label access is provided:
Vendors may use custom branding
Core ownership remains with the Company
Vendors may not claim ownership of underlying technology
5. Customer Support
Unless otherwise agreed:
Level 1 support may be handled by vendors
Technical/server-level support remains under Company control
6. Restrictions
Vendors shall not:
Copy or reproduce the platform
Reverse engineer the software
Resell services to prohibited industries
Use the platform for illegal or spam activities
7. Confidentiality
All technical, commercial, and business information shared between parties shall remain confidential.
8. Suspension & Termination
The Company reserves the right to terminate vendor access in cases of:
Payment default
Policy violations
Fraudulent activities
Misrepresentation
9. Liability
The Company shall not be responsible for:
Vendor business losses
End-client disputes
WhatsApp bans due to misuse
Third-party downtime
10. Governing Law
These terms shall be governed under the laws of India and subject to jurisdiction in Jharkhand, India.
